Privacy Policy Applicability
This Privacy Policy describes how Walter Software Corporation ("Walter", "we", "us" or "our") collects, uses, discloses, and otherwise processes personal information and personal data ("Personal Information") when you visit our websites, including https://getwalter.com, and related web pages (the "Websites"), use our cloud-based software-as-a-service legal technology AI platform and related features, plug-ins, and support services (the "Services"), or otherwise interact with us through our Websites, Services, or plug-ins (collectively, the "Online Services").
This Privacy Policy applies to Personal Information we process as a controller or business for our own purposes, such as operating the Websites, marketing and sales activities, account administration, and providing support. This Privacy Policy does not apply to content or information that we process solely on behalf of a Customer in connection with the Services.
Our Services are provided to law firms and other organizations (each, a "Customer") for professional use. Customers control how Personal Information contained in prompts, inputs, instructions, documents, matter data, and outputs in the Services is handled for their own purposes ("Customer Data"). Walter processes Customer Data on behalf of Customers and in accordance with the applicable agreement(s) with that Customer (e.g., a platform agreement and/or data processing terms) (the "Customer Agreement"). Privacy practices for Customer Data are addressed in the Customer Agreement, not this Privacy Policy.
This Privacy Policy is intended to address our obligations under applicable Canadian privacy laws, including British Columbia’s Personal Information Protection Act ("BC PIPA"), and, where applicable, Canada’s Personal Information Protection and Electronic Documents Act ("PIPEDA").

2. What Personal Information we collect
We collect Personal Information in the following ways:
2.1 Information you provide to us
· Account and administrative information: name, business email address, employer/firm name, role, authentication credentials, and similar account information.
· Billing and transaction information: billing contact information, invoice details, and (where applicable) payment-related information (which may be processed by Stripe). Some customers may pay by invoice and offline methods supported through QuickBooks.
· Communications: information you provide when you request a demo, submit a support ticket, participate in training, respond to surveys, or otherwise communicate with us.
· Event and marketing information: information you provide when you register for events, webinars, or subscribe to updates.
2.2 Information we collect automatically
· Device and connection information: IP address, device identifiers, operating system, browser type, language settings.
· Log and usage information: pages/screens visited, features used, timestamps, crash reports, and similar diagnostic data.
· Cookies and similar technologies: we may use cookies, pixels, and similar technologies (including Segment.io) to operate, analyze, and improve the Websites and Services.
2.3 Information we collect from third parties
· From your organization: Customers may provide us with user details to provision accounts (e.g., name, email, role).
· Service providers and partners: we may receive information from analytics providers, marketing partners, or event organizers.
· Security and fraud prevention: we may receive information to help protect accounts and the Services.
2.4 Publicly available information
We may collect publicly available information (e.g., professional profile information) to support sales, marketing, and business development.
3. Why we collect Personal Information (purposes)
We identify purposes for collection at or before the time of collection where required. Depending on your relationship with us, we may use Personal Information to:
· Provide and operate the Services (including account creation, access management, and authentication).
· Provide support and respond to inquiries.
· Improve and develop our Websites and Services (including analytics, performance monitoring, and product development). We do not use Customer Data to train, fine-tune, or otherwise improve any machine-learning models (including foundation models and third-party models). Any use for product improvement is limited to aggregated and/or de-identified information unless otherwise expressly agreed in the Customer Agreement or applicable Order Form.
· Security and integrity (including monitoring for misuse, investigating incidents, preventing fraud, and enforcing our terms).
· Billing and administration (including invoicing and account management).
· Communications (including service announcements and, where permitted, marketing communications).
· Compliance and legal (including meeting legal obligations, responding to lawful requests, and protecting our legal rights).
We may create aggregated and/or de-identified information and use it for analytics, product improvement, and reporting.
4. How we disclose Personal Information
We may disclose Personal Information in the following circumstances:
· Service providers: vendors that help us operate the Websites and Services (e.g., hosting, analytics, customer support, communications, security, and billing). We require service providers to protect Personal Information and use it only to provide services to us.
· Affiliates: if we use affiliates to support our operations.
· Business transactions: in connection with a corporate transaction (e.g., financing, merger, acquisition, reorganization), subject to appropriate protections.
· Legal and compliance: to comply with law, lawful requests, or to protect rights, safety, and security.
5. Cookies and similar technologies
We use cookies and similar technologies for:
· Essential operation (e.g., login/session management);
· Performance and analytics;
· Functional preferences.
You can control cookies through your browser settings (for example, by blocking or deleting cookies, or using browser controls for tracking technologies). If you disable cookies, some features may not function properly.
6. International and cross-border processing
Walter is based in British Columbia, Canada. We may use service providers and subprocessors that process Personal Information in other jurisdictions, including Canada, the United States, and the European Union. Data locations and processing may vary depending on the Services used, applicable Order Forms, and Customer instructions. When Personal Information is transferred to a third party for processing, we remain responsible for it and use contractual or other means to provide a comparable level of protection.
Where required, we will provide appropriate notice that Personal Information may be processed in another jurisdiction and may be accessible to courts, law enforcement, and national security authorities in that jurisdiction.
7. Safeguards
We use administrative, technical, and physical safeguards appropriate to the sensitivity of the Personal Information to protect it against loss, theft, and unauthorized access, disclosure, copying, use, or modification.
8. Retention
We retain Personal Information only as long as necessary for the purposes identified and as required or permitted by law. When it is no longer required, we will destroy, erase, or anonymize it, subject to legal and operational constraints (including secure backups).
Customer Data retention and deletion are governed by the applicable Customer agreement(s).
9. Access and correction
Subject to applicable law, you may request access to Personal Information we hold about you, and you may request correction of errors or omissions. We may need to verify your identity before responding.
For Customer Data (content in the Services controlled by a Customer), requests should be directed to the relevant Customer.
10. Marketing choices
You can opt out of marketing emails by using the unsubscribe link in the email or by contacting us.
We may still send you non-marketing communications (e.g., service and security notices).
11. Children
The Websites and Services are not directed to children, and we do not knowingly collect Personal Information from children.
12. Changes to this Privacy Policy
We may update this Privacy Policy from time to time. We will post the updated version and revise the “Last updated” date above.
13. Additional information for Canada
Under PIPEDA’s openness principle, we make available information about our privacy policies and practices, including how to contact our privacy lead, how to access Personal Information, and a general description of the Personal Information we hold and how we use it.
If you are not satisfied with our response to a privacy concern, you may have the right to contact the relevant privacy regulator (for example, the Office of the Information and Privacy Commissioner for British Columbia or the Office of the Privacy Commissioner of Canada, depending on the circumstances).
